    Pro-Rata Rights

    Right of an existing investor to maintain ownership percentage in future rounds.

    Pro-rata rights allow an investor to participate in future financings up to the amount needed to maintain their existing ownership percentage. Often called 'preemptive rights' in legal documents.

    What this means in practice

    Coveted in oversubscribed MedTech rounds, where insiders compete with new investors for allocation. Major funds insist on pro-rata; smaller checks may not get them.
