    Venture Debt

    In one line
Loan made to a venture-backed company, usually alongside or after equity.
    Definition
Venture debt is term debt provided by specialty lenders (SVB, Hercules, Trinity, Western Alliance) to venture-backed companies, typically sized at 25–35% of the most recent equity round, with warrants attached. Venture debt is usually raised alongside or soon after an equity round and includes warrants for the lender. Loans carry interest, fees and covenants, and failure to repay can let the lender take collateral. It is best used to extend runway to a milestone, not to replace equity.
    Why it matters
Useful to extend runway between rounds without dilution. Risky if the company misses milestones - covenants and material adverse change clauses can accelerate repayment when cash is tight.
    Common pitfalls
    • •Drawing the full facility just because it's available, then carrying expensive debt without a clear use.

Why compare MedTech terms side by side?

MedTech terminology is full of pairs that look interchangeable but carry very different regulatory, clinical, and commercial consequences. Picking the wrong framework, pathway, or standard early in a project can add months to a submission, invalidate clinical evidence, or trigger an audit finding. Side-by-side comparison is the fastest way to surface those differences before they become costly mistakes.

Each comparison on this page pulls from the same vendor-neutral, sourced definitions used throughout the MedTech Terms glossary. You see the one-line summary, the formal definition, why it matters in practice, common pitfalls, and the primary sources (FDA guidance, EU MDR/IVDR articles, ISO/IEC standards, MDCG documents, IMDRF principles) that back each entry. That makes the comparison defensible in regulatory strategy memos, design reviews, and submission narratives.
