    Valuation Cap

    In one line
Maximum company valuation at which a SAFE or note converts to equity.
    Definition
A valuation cap sets a ceiling on the price at which a convertible instrument converts into equity, protecting early investors from dilution if the company's valuation rises sharply before the next priced round. At conversion, the investor gets the better of the cap price or the discounted round price, not both. A post-money cap fixes the investor's ownership percentage, while a pre-money cap can shift with other converting instruments. Setting a cap too low can create heavy dilution and signal a low valuation to later investors.
    Why it matters
In MedTech, caps are calibrated to expected milestones - caps often step up after first-in-human data, CE mark, or FDA clearance. A cap that's too low gives away too much equity; too high and early investors won't bite.
    Common pitfalls
    • •Negotiating a cap without modeling the implied ownership percentage at conversion under various Series A scenarios.

Why compare MedTech terms side by side?

MedTech terminology is full of pairs that look interchangeable but carry very different regulatory, clinical, and commercial consequences. Picking the wrong framework, pathway, or standard early in a project can add months to a submission, invalidate clinical evidence, or trigger an audit finding. Side-by-side comparison is the fastest way to surface those differences before they become costly mistakes.

Each comparison on this page pulls from the same vendor-neutral, sourced definitions used throughout the MedTech Terms glossary. You see the one-line summary, the formal definition, why it matters in practice, common pitfalls, and the primary sources (FDA guidance, EU MDR/IVDR articles, ISO/IEC standards, MDCG documents, IMDRF principles) that back each entry. That makes the comparison defensible in regulatory strategy memos, design reviews, and submission narratives.
