    Milestone-Based Tranche

    In one line
Investment paid in installments triggered by predefined milestones.
    Definition
A tranched financing releases capital in stages, with later tranches conditioned on the company achieving specific clinical, regulatory, or commercial milestones - for example, IDE approval, first-patient-in, 510(k) clearance, or first commercial sale. Milestones should be objective and verifiable, with clear dates and evidence of achievement. Investors may waive a missed milestone or decline to fund the next tranche. Because later tranches are priced at the first close, achieving milestones can mean raising money at a price below the company's new value.
    Why it matters
Common in MedTech where binary risk events (FDA decisions, pivotal trial readouts) make staged capital deployment attractive to investors. Founders should negotiate milestones that are objectively measurable and within the company's control.
    Common pitfalls
    • •Accepting milestones that depend on third parties (FDA timelines, payer decisions) without clear cure provisions.

Why compare MedTech terms side by side?

MedTech terminology is full of pairs that look interchangeable but carry very different regulatory, clinical, and commercial consequences. Picking the wrong framework, pathway, or standard early in a project can add months to a submission, invalidate clinical evidence, or trigger an audit finding. Side-by-side comparison is the fastest way to surface those differences before they become costly mistakes.

Each comparison on this page pulls from the same vendor-neutral, sourced definitions used throughout the MedTech Terms glossary. You see the one-line summary, the formal definition, why it matters in practice, common pitfalls, and the primary sources (FDA guidance, EU MDR/IVDR articles, ISO/IEC standards, MDCG documents, IMDRF principles) that back each entry. That makes the comparison defensible in regulatory strategy memos, design reviews, and submission narratives.
