## Definition

Preferred stock is the security class issued to venture investors. It carries a  [liquidation preference](/terms/liquidation-preference),  [anti-dilution protection](/terms/anti-dilution), dividend rights, protective provisions (veto rights over key actions), and often board representation - rights not held by common stockholders. 

What the regulation says

While preferred stock itself is not directly regulated by MedTech-specific authorities, its implications for company ownership and control can indirectly affect regulatory compliance, particularly regarding accountability for quality management systems and reporting requirements. For instance, changes in company control due to preferred stock provisions might impact the designated " [person responsible for regulatory compliance](/terms/prrc)" under EU  [MDR](/terms/mdr-reporting) (Article 15) or the " [management representative](/terms/management-representative)" described in 21 CFR 820.20(b)(3). 

## What this means in practice

Each round (Series Seed, A, B, C…) typically issues a new series of preferred with its own preference and rights, stacked in reverse order of issuance.
