# Non-Dilutive Funding

Capital that does not require giving up equity, such as grants or debt.

## Definition

Non-dilutive funding includes government grants (NIH  [SBIR/STTR](/terms/sbir-sttr), BARDA, ARPA-H), foundation grants,  [venture debt](/terms/venture-debt),  [revenue-based financing](/terms/royalty-financing), and strategic milestone payments - capital that does not require issuing equity. 

What the regulation says

While non-dilutive funding itself is not directly regulated, the use of such funds in MedTech is subject to the same regulatory requirements as any other funding source (e.g., FDA 21 CFR Part 820 for  [Quality System Regulation](/terms/qsr)). Funding from government sources like NIH or BARDA often comes with specific reporting and compliance obligations related to project milestones and expenditures, distinct from general MedTech regulations. 

## What this means in practice

SBIR Phase I/II grants are a common MedTech bridge from idea to first equity round.  [Venture debt](/terms/venture-debt) typically arrives after a  [Series B](/terms/series-funding) and extends  [runway](/terms/runway) with minimal  [dilution](/terms/dilution). 

## Examples
