# Dilution

Reduction in existing shareholder ownership when new shares are issued.

## Definition

Dilution is the percentage decrease in an existing shareholder's ownership stake caused by the issuance of new shares - through a financing, option grants,  [SAFE](/terms/safe-note) conversion, or warrant exercise. 

What the regulation says

While dilution primarily concerns investment and finance, it can indirectly impact MedTech regulatory and quality aspects. For instance, significant changes in ownership structure due to dilution might trigger re-evaluation of the designated authorized representative for EU  [MDR](/terms/mdr-reporting) compliance, or impact resource allocation for maintaining a robust quality management system under 21 CFR 820. Changes in company control could also necessitate reviewing data privacy agreements under  [HIPAA](/terms/hipaa) or GDPR if new entities gain access to patient data. 

## What this means in practice

MedTech companies typically dilute 20–25% per priced round. Founders who raise 6–8 rounds before exit can end up with single-digit ownership. Capital-efficient milestones - anything that lets you raise less or at higher valuations - directly preserve founder equity.
